MAS S21 Course #490 – Sell-side Modeling to Maximize Valuation

Have you ever wondered if your seller was leaving too much on the table? Or better yet, how much could your buyer really afford to pay and still have a favorable outcome? This course will explore the use of financial modelling to determine the buyer's ability to pay for an acquisition. We will review the basics of financial modelling: what are the most important parts, how to read the model and what sensitivities to consider. We'll investigate the importance of capital structure and some of the levers that sellers can use to ensure they are getting the best deal. We will include some interactive Excel exercises, so laptops are recommended but not required.

THIS COURSE IS A PREREQUISIT FOR COURSE #491 ON TUESDAY AND WEDNESDAY (2 part course). If you have ALREADY taken Course#490, you do not need to take it again to sign up for Course #491.

In this updated course, the instructor will look at the basic issues the dealmaker must face navigating the complexities of selling a company that may lack traditional value components, but which may still represent a good transaction opportunity. This course is being revived as practices face businesses seeking a transaction after being hit hard by the Pandemic period. Some techniques and approaches stay consistent while others adjust due to tax law changes, the economy and market demand. Entity types alone have a direct impact on planning options. What works for one entity may only partially apply to another entity or not apply at all. Like the M&A Industry, this course is designed to not be static.
